TERMS OF SERVICE

These Rules, Terms and Conditions ("Terms") govern participation in The Golden Ticket, the MCAT Simplified referral program (the "Referral Program"). By participating in the Referral Program, you agree to these Terms. These Terms replace all previous versions in full.

 

1. Program Overview

The Golden Ticket allows eligible MCAT Simplified students to refer new customers to MCAT Simplified.

Each eligible participant ("Referrer") receives one referral code. That code is valid for a maximum of three (3) qualifying referrals, described throughout these Terms as three golden tickets. A golden ticket is considered used when a New Customer completes a Qualifying Purchase with the Referrer's code.

For each golden ticket used:

• The referred customer ("Referred Customer") may receive 10% off their first Qualifying Purchase.

• The Referrer may receive a $200 cash referral reward after the referral satisfies all qualification requirements described in these Terms.

A Referrer may earn a maximum of $600 under the Referral Program, being three golden tickets at $200 each.

MCAT Simplified reserves the right to modify, suspend, or terminate the Referral Program at any time, subject to applicable law.

2. Program Period and Limited Availability

The Referral Program is offered for a limited time and golden tickets are issued in limited quantity.

The Referral Program runs from the Effective Date until MCAT Simplified closes it (the "Program Period"). MCAT Simplified may close the Referral Program at any time and for any reason, including once all available golden tickets have been issued. Where MCAT Simplified announces a closing date, whether on its website or by email, that date applies for the purposes of this Section.

Once the Referral Program closes:

• No new referral codes will be issued.

• A referral code already issued may still be used to complete a Qualifying Purchase for fourteen (14) days after the closing date (the "Redemption Grace Period"). A Qualifying Purchase completed after the Redemption Grace Period ends does not qualify for a discount or a cash reward, even if the code still functions at checkout.

• Referrals that qualified before the Referral Program closed will be paid in the normal way, including where the seven (7) day qualification period in Section 9 has not yet finished.

Nothing in this Section obliges MCAT Simplified to keep the Referral Program open for any particular length of time.

3. Eligibility to Participate as a Referrer

To participate as a Referrer, an individual must:

1. Have a valid MCAT Simplified account;

2. Be currently enrolled in, or have previously purchased, a paid course or other qualifying educational offering directly from MCAT Simplified;

3. Receive or have access to a referral code issued by MCAT Simplified; and

4. Comply with these Terms and all applicable laws and regulations.

Employees, contractors, affiliates, business partners, or other individuals designated by MCAT Simplified may be excluded from the Referral Program unless expressly authorized by MCAT Simplified. Individuals participating in the MCAT Simplified Partner Network or any other paid promotional arrangement may be excluded from the Referral Program for the same activity.

MCAT Simplified reserves the right to determine eligibility and to suspend or terminate participation if it reasonably believes a participant has violated these Terms or abused the Referral Program.

4. Definition of a New Customer

For purposes of the Referral Program, a "New Customer" or "Referred Customer" means an individual who:

1. Has never previously made a purchase from MCAT Simplified; and

2. Makes a Qualifying Purchase using a valid referral code belonging to an eligible Referrer.

A person who has previously purchased any course, program, product, service, or other paid offering from MCAT Simplified is not a New Customer, even if that person has not purchased recently or has never previously used a referral code.

A person who has only accessed free resources, attended a free workshop, or joined a free mailing list or community is still a New Customer, provided they have not made a paid purchase.

Creating a new account, using a different email address, or otherwise attempting to appear to be a new customer does not make an existing customer eligible.

MCAT Simplified will determine whether a customer qualifies as a New Customer based on its records and other information reasonably available to it.

5. Golden Tickets and Referral Codes

Each eligible Referrer receives one referral code, valid for up to three golden tickets. Referrers do not receive three separate codes.

The referral code may be shared with friends, family members, colleagues, or other individuals who may be interested in purchasing a course from MCAT Simplified.

The referral code:

• Is assigned to the specific Referrer;

• May not be sold, transferred, or assigned to another person;

• May not be used by the Referrer to make a purchase for themselves;

• May not be used to create fraudulent or fictitious transactions;

• Stops conferring rewards once three golden tickets have been used; and

• May be deactivated or replaced by MCAT Simplified at any time.

MCAT Simplified may limit or reject referral codes that are distributed in ways that violate these Terms or applicable law.

6. Qualifying Purchase

A "Qualifying Purchase" means a first-time purchase by a New Customer of a paid MCAT Simplified course or program with a list price of at least $500 before application of the referral discount.

As of the Effective Date, this includes the monthly Bootcamp, 516+ Signature, and 516+ All-Access.

The following are not Qualifying Purchases and do not earn a discount or a cash reward:

• Hourly admissions advising and any other service sold below the $500 threshold;

• Physical products, including the printed study guide;

• Free workshops, free resources, and free community access;

• Renewals, upgrades, add-ons, or any second or subsequent purchase by the same customer; and

• Any purchase MCAT Simplified reasonably determines is not a genuine first-time enrollment.

MCAT Simplified reserves the right to determine whether a purchase qualifies.

7. Referred Customer Discount

A Referred Customer who uses a valid referral code may receive 10% off their first Qualifying Purchase. The discount is calculated on the list price of the course before tax and before any other adjustment.

The referral discount:

• Is available only to eligible New Customers;

• Applies only to the customer’s first Qualifying Purchase;

• May not be exchanged for cash or redeemed for a cash equivalent;

• May not be transferred;

• May not be used by an existing customer;

• May not be used for self-referrals; and

• May not be combined with other promotional offers or discount codes unless expressly permitted by MCAT Simplified.

Where a Referred Customer could use either a referral code or another active promotion, MCAT Simplified may apply whichever single discount it determines applies, and the customer may not stack the two.

8. Referrer Cash Reward

An eligible Referrer will receive a $200 cash reward for each golden ticket used, up to three. The amount is flat and does not vary with the price of the course the Referred Customer purchases.

A referral becomes eligible for the cash reward only when all of the following conditions have been satisfied:

1. The Referred Customer is a New Customer;

2. The Referred Customer uses the Referrer’s valid referral code;

3. The Referred Customer completes a Qualifying Purchase as defined in Section 6;

4. The purchase is successfully completed and payment is received by MCAT Simplified;

5. The Referred Customer remains a confirmed student;

6. At least seven (7) days have passed following the Qualifying Purchase;

7. The Referrer has not already had three golden tickets used; and

8. The transaction has not been canceled, refunded, charged back, or otherwise determined by MCAT Simplified to be invalid or ineligible.

Until all qualification requirements have been satisfied, the referral reward may be designated as Pending.

9. Three Golden Tickets Per Referrer

Each Referrer may earn cash rewards on a maximum of three (3) qualifying referrals during the Program Period:

• 1 golden ticket used: the Referrer may earn $200;

• 2 golden tickets used: the Referrer may earn $400;

• 3 golden tickets used: the Referrer may earn $600.

Once three golden tickets have been used, the Referrer earns no further cash rewards, and further uses of that code do not qualify. MCAT Simplified may deactivate a code once its three tickets are spent.

Where more than three Qualifying Purchases are made with the same code, the three earliest completed purchases are the ones that count, determined by the time MCAT Simplified received payment.

A New Customer may continue to receive the 10% discount at MCAT Simplified’s discretion even where the Referrer has no tickets left, but no cash reward is payable in that case.

All referrals must be genuine and must satisfy these Terms. MCAT Simplified reserves the right to investigate unusual referral activity and to delay payment while conducting a reasonable review.

10. Timing of Referral Payments

Once a referral satisfies all qualification requirements, MCAT Simplified will make reasonable efforts to issue the $200 cash reward in accordance with its standard referral payment process.

Rewards are paid by PayPal to the address the Referrer provides when joining the Referral Program. Referrers are responsible for giving an accurate payment address and for keeping it current. MCAT Simplified is not responsible for a payment sent to an address a Referrer supplied incorrectly.

The seven (7) day qualification period allows MCAT Simplified to verify the transaction and confirm that the enrollment remains valid.

If a purchase is canceled, refunded, charged back, or otherwise invalidated before the referral reward is paid, the Referrer will not be entitled to the reward for that referral, and the golden ticket used for that referral is returned to the Referrer.

If a refund, chargeback, cancellation, or other disqualifying event occurs after a referral reward has already been paid, MCAT Simplified may, to the extent permitted by applicable law, reverse or recover the reward or offset the amount against future referral rewards.

11. Prohibited Referral Activity

Participants may not:

1. Refer themselves;

2. Create or use multiple accounts to obtain referral discounts or rewards;

3. Use another person’s identity or information to generate a referral reward;

4. Refer an individual who is already an existing customer;

5. Make a purchase for the purpose of creating a fraudulent referral;

6. Submit false, misleading, or fraudulent information;

7. Manipulate, interfere with, or attempt to circumvent the Referral Program’s tracking or qualification system, including by using another person’s code to continue earning after their own three golden tickets are spent;

8. Use automated systems, bots, scripts, or other methods to generate fraudulent referrals;

9. Sell, purchase, or trade referral codes;

10. Post referral codes to coupon, deal, or discount aggregator sites;

11. Misrepresent MCAT Simplified, its courses, programs, pricing, outcomes, or services;

12. Make false, deceptive, or misleading statements about MCAT Simplified in connection with a referral;

13. Represent that they are an employee, representative, or authorized agent of MCAT Simplified unless they actually are;

14. Use paid advertising or search advertising containing MCAT Simplified’s trademarks or brand terms for referral purposes without written authorization;

15. Spam individuals with referral communications; or

16. Engage in any activity that MCAT Simplified reasonably determines is fraudulent, abusive, deceptive, or inconsistent with the purpose of the Referral Program.

12. Referral Communications and Disclosures

Referrers may share their referral code with individuals who may genuinely be interested in MCAT Simplified’s courses, including on their own social accounts, in group chats, and in study groups.

When promoting MCAT Simplified or its courses publicly, Referrers must be truthful and must not make false, misleading, or unsubstantiated claims.

Because Referrers may receive a $200 cash reward when their referral results in a Qualifying Purchase, Referrers must clearly disclose this financial relationship when making promotional statements or endorsements where such disclosure is required. An example of an appropriate disclosure is:

"I may receive $200 if you enroll using my referral code."

Referrers should not claim or imply that they are independent representatives of MCAT Simplified or that they are authorized to speak on its behalf.

MCAT Simplified may request that a Referrer remove or correct promotional content that violates these Terms or applicable law.

13. No Guarantee of Referral Rewards

A referral code being used does not automatically guarantee a $200 reward. The referral must satisfy all eligibility and qualification requirements in these Terms, and the Referrer must have a golden ticket remaining.

MCAT Simplified’s records will generally determine whether a referral qualifies for a reward and how many golden tickets a Referrer has used.

14. Referral Attribution

A referral will generally be attributed to the Referrer whose valid referral code is successfully used by the New Customer during the applicable enrollment or checkout process.

A customer may not use multiple referral codes. If attempted, MCAT Simplified may apply its referral attribution rules to determine which Referrer, if any, receives credit.

MCAT Simplified is not responsible for referral rewards that cannot be properly attributed because a customer fails to enter a valid referral code or provides inaccurate information.

15. Refunds, Cancellations, and Chargebacks

If a Referred Customer’s Qualifying Purchase is canceled, refunded, reversed, charged back, or otherwise invalidated before the Referrer has received the reward, the referral will not qualify for the cash reward.

If a reward has already been paid and the underlying transaction is subsequently refunded, canceled, reversed, or charged back, MCAT Simplified may, to the extent permitted by law, recover the reward or deduct the amount from future rewards.

16. No Self-Referrals

A Referrer may not use their own referral code to obtain a discount or referral reward.

A Referrer also may not arrange for another person to make a purchase on their behalf for the purpose of obtaining a referral discount or reward, and two Referrers may not use each other’s codes to manufacture rewards for one another.

MCAT Simplified may reject any transaction that it reasonably believes constitutes a self-referral or an attempt to circumvent this rule.

17. Family, Friends, and Household Members

Eligible Referrers may refer genuine New Customers, including friends, family members, colleagues, or members of the same household, provided that the Referred Customer has never previously made a purchase from MCAT Simplified and the transaction is genuine.

Sharing a household, address, device, or internet connection does not by itself disqualify a referral. MCAT Simplified may investigate referrals that present other reasonable indicators of fraud or abuse.

18. Communications and Text Messaging

By joining the Referral Program, a Referrer agrees to receive email relating to their participation, including the message that delivers their referral code, notices that a golden ticket has been used, and payout confirmations. These are transactional messages and are part of participating in the Referral Program.

Providing a mobile number is optional and is not a condition of participating in the Referral Program or of receiving any reward.

Where a Referrer provides a mobile number and gives express written consent, MCAT Simplified may send recurring automated text messages about their referrals. Message frequency varies. Message and data rates may apply. A Referrer may reply STOP at any time to stop messages and HELP for help. Consent to receive text messages is not a condition of any purchase.

19. Taxes and Payment Information

Referral rewards are promotional compensation and may have tax consequences for the recipient.

Referrers are responsible for providing accurate payment and tax information requested by MCAT Simplified or its payment provider and for complying with their own tax obligations.

MCAT Simplified may be required to collect tax information and to report referral payments to governmental authorities as required by applicable law. Referrers who reach the maximum $600 should be aware that referral rewards may be reportable when combined with other payments received from MCAT Simplified in the same tax year.

20. Program Abuse and Investigation

MCAT Simplified reserves the right to investigate any referral activity that it reasonably believes may violate these Terms or involve fraud, abuse, manipulation, or other improper conduct.

During an investigation, MCAT Simplified may temporarily place referral rewards on hold.

If MCAT Simplified determines that a participant has violated these Terms, it may:

• Reject pending referrals;

• Withhold unpaid rewards;

• Reverse previously issued rewards to the extent permitted by law;

• Disable or deactivate a referral code;

• Suspend or terminate participation in the Referral Program; and/or

• Take any other action reasonably necessary to protect the integrity of the Referral Program.

21. No Employment, Agency, or Partnership

Participation in the Referral Program does not create an employment relationship, agency relationship, partnership, joint venture, franchise, or other formal business relationship between the Referrer and MCAT Simplified.

Referrers are not authorized to make commitments, representations, warranties, guarantees, or promises on behalf of MCAT Simplified.

22. Changes to the Referral Program

MCAT Simplified may modify the Referral Program, including:

• Reward amounts;

• Discount amounts;

• Eligibility requirements;

• Qualification requirements;

• Payment procedures;

• The number of golden tickets available to each Referrer;

• The Program Period, including when the Referral Program closes;

• Program terms; and

• Other program rules.

MCAT Simplified reserves the right to make any changes without notification.

Unless otherwise required by applicable law, changes will not affect referrals that have already fully qualified for payment before the effective date of the change.

23. Suspension or Termination

MCAT Simplified may suspend or terminate the Referral Program at any time.

MCAT Simplified may also terminate or suspend an individual participant’s access to the Referral Program if the participant violates these Terms or if MCAT Simplified reasonably believes the participant has engaged in fraudulent, abusive, deceptive, or unlawful activity.

Termination of participation does not eliminate obligations or rights that accrued before termination, except where otherwise permitted by these Terms or applicable law.

24. Privacy

Participation in the Referral Program may require MCAT Simplified to collect and process information relating to Referrers and Referred Customers, including referral codes, account information, transaction information, mobile numbers where provided, and payment information.

Such information will be handled in accordance with MCAT Simplified’s applicable Privacy Policy.

Referrers should not provide MCAT Simplified with unnecessary personal information about people they refer.

25. No Guarantee of Course Results

The Referral Program does not guarantee any particular educational, professional, financial, career, or other outcome from purchasing or completing an MCAT Simplified course.

Referrers must not make claims about guaranteed results or outcomes that are not authorized or substantiated by MCAT Simplified.

26. Acceptance of Terms

By participating in the Referral Program, using a referral code, or accepting a referral reward, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you may not participate in the Referral Program.
